1. Acceptance of Terms
By downloading, installing, or using any Naviorx software ("the Software"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not install or use the Software.
2. License to Use
Naviorx grants you a non-exclusive, non-transferable, revocable license to install and use the Software on your personal or organizational devices for the purposes described in the documentation. This license is provided solely for your use of the Software as distributed by Naviorx. You may not redistribute, sublicense, or resell the Software without express written permission from Naviorx. All rights not explicitly granted herein are reserved by Naviorx.
3. Intellectual Property
The Naviorx name, logo, brand identity, Software, documentation, and website content are the proprietary intellectual property of Naviorx. The Software and all related materials are protected by copyright and other intellectual property laws. No ownership rights are transferred to you under these Terms. You may not remove, alter, or obscure any copyright, trademark, or proprietary notices.
4. Disclaimer of Warranty
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. NAVIORX DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.
5. Limitation of Liability
To the fullest extent permitted by applicable law, Naviorx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with: (a) your use or inability to use the Software; (b) any third-party models downloaded or executed through the Software; (c) any content generated using the Software; or (d) any unauthorized access to or alteration of your locally-stored data.
6. Local-First Architecture
The Software is designed to operate entirely on your local device. It does not transmit user data, model inputs, model outputs, or usage telemetry to Naviorx or any third party. The Software requires an internet connection only for the initial download and user-initiated model downloads. No background network connections are established by the Software without explicit user action. The Software is offline-first by design.
7. Acceptable Use Policy
You agree not to use the Software to: (a) generate, distribute, or facilitate illegal content; (b) generate content that infringes upon the intellectual property rights or privacy rights of others; (c) generate content that promotes violence, harassment, or discrimination; (d) circumvent export controls or sanctions laws; (e) deploy the Software in critical infrastructure, medical devices, or autonomous systems where failure could cause harm; or (f) use the output of the Software to train or improve competing commercial products in violation of applicable model licenses.
8. User-Generated Content and Feedback
Any content you generate using the Software remains yours. Naviorx does not access, collect, or store content you generate. If you voluntarily submit feedback, bug reports, or suggestions through the Software's in-app feedback or bug report forms, you grant Naviorx a non-exclusive, perpetual, irrevocable, royalty-free license to use that feedback for the purpose of improving the Software. All feedback submission is entirely user-initiated.
9. Third-Party Models and Content
The Software may be used to download, run, and generate content from third-party AI models. Naviorx does not control, endorse, or assume responsibility for any third-party models, their output, or their licensing terms. Users are solely responsible for ensuring their use of third-party models complies with applicable terms, licenses, and laws.
10. User Responsibilities
You are solely responsible for: (a) the content you generate using the Software; (b) ensuring your use of the Software complies with all applicable laws and regulations; (c) obtaining necessary rights and licenses for any data or models you use; (d) maintaining appropriate security measures for your local environment; and (e) verifying the accuracy and appropriateness of generated content before use.
11. Termination
These Terms remain in effect until terminated. You may terminate these Terms at any time by discontinuing use of the Software and deleting all copies. Naviorx may terminate or suspend your rights under these Terms if you breach any provision. Upon termination, you must cease all use of the Software and destroy all copies. Sections 3, 4, 5, and 8 survive termination.
12. Modifications to Terms
Naviorx reserves the right to modify these Terms at any time. Material changes will be published on this page with an updated revision date. Your continued use of the Software after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Software.

Any disputes arising from these Terms or the Software shall be resolved through good-faith negotiation before pursuing other remedies.
